Zeptor Inc – Billing & Payment Policy (rev. 1.0)

1. Billing Frequency and Pricing

• Zeptor offers three subscription models:
  • (a) Monthly – $30 per user per month.
  • (b) Annual (default) – $300 per user per year, payable in advance.
  • (c) Multi-Year Enterprise – custom pricing with applicable discounts.
• Annual and multi-year subscriptions are billed in advance at the start of the term.

2. Invoicing and Payment Terms

• All invoices are payable in U.S. Dollars (USD) and due within thirty (30) calendar days (Net 30) of the invoice date, unless otherwise agreed in writing.
• Zeptor may suspend or restrict account access for overdue balances.
• Payments are accepted via ACH / wire transfer, credit card (via Stripe or another PCI-compliant processor), or check for invoiced accounts.
• All prices are exclusive of applicable taxes. Sales tax, VAT, or GST will be added to invoices based on customer location and applicable law.

3. Non-Refundable Payments and Cancellations

• All payments are non-refundable.
• Subscriptions auto-renew at the end of each billing term unless canceled with at least thirty (30) days' prior written notice.
• Zeptor will send an email reminder before each renewal with renewal details and pricing.
• Cancellations become effective at the end of the current billing period.

4. Customization, Data Migration, and Professional Services

• Customization, integration, data-migration, or consulting services are billed separately under a Statement of Work (SOW) or equivalent agreement.
• Such services may be invoiced upfront, on milestone completion, or upon final delivery, as specified in writing.
• For subscriptions purchased through an authorized reseller, all payment terms are governed by the reseller's agreement, and this policy does not apply directly between Zeptor and the end customer.

5. Data Ownership, Hosting, and Security

• Customer data remains the sole property of the customer.
• Zeptor hosts its services and customer data on Microsoft Azure, which provides enterprise-grade security, availability, and compliance (including ISO 27001, SOC 2, and GDPR-aligned frameworks).
• Zeptor uses TLS/SSL encryption, access controls, and regular security reviews.
• Payment data is handled exclusively by Stripe or equivalent PCI DSS-compliant payment processors; Zeptor does not store credit card information.

6. Taxes

• All fees are exclusive of taxes. Customers are responsible for any applicable sales tax, VAT, GST, or other governmental charges arising from their subscription.
• Zeptor may utilize automated systems such as Stripe Tax to calculate and collect applicable taxes.

7. Governing Law

• This Payment & Billing Policy is governed by the laws of the State of California, USA, without regard to its conflict of law principles.
